The fundamental points of the proposal are as follows:

  1. That a formal license agreement is entered into between Exquisite Hotel Consultants (“the Licensor”) and the licensee. 
  2. For the use of the Licensor’s name and intellectual property, a one-time fee of $ 1,660 (USD) would be paid by the licensee to the Licensor, 50% of which would be payable in one lump sum, and the balance would be payable in 5 subsequent monthly instalments from the date of signing the license agreement. 
  3. An administration fee of $ 165 per month (USD), payable in advance,would be charged from the 2nd-anniversary date of the agreement (no administration fee will be payable in the 1st year). This fee would only be increased by a nominal percentage amount yearly.
  4. The licensee or the licensor (“the parties”) would have the option to terminate the agreement with 90 days of written notice to the other party (only applicable during the last 3 months before the expiry of the date of the yearly agreement).
  5. Concerning hospitality properties and/or businesses, the licensee would receive 50% to 80% of the total commission of 3% to 10% (depending upon the type of transaction involved – i.e. a sale or a lease or a partnership arrangement or a management agreement arrangement, as the case may be - and the amount of work the licensee would require from the licensor to achieve a sale) of the realised sale or lease or partnership arrangement or management agreement arrangement price of a hospitality property/business achieved by the licensee. Note that this could be very lucrative for yourself and/or your entity, as the average price per hospitality property/business, could be as much as 5 million USD (about R 90 million), and as a trained hotelier and Principal Estate Agent & CEO of Exquisite Hotel Consultants, the licensor would, in most cases, be doing a substantial amount of the background work involved!
  6. The licensee would not have to pay for listing hospitality properties and/or businesses on the Licensor’s website/platform. The licensor would list all properties for sale or lease/rent or for partnership arrangements or management contracts (whichever is applicable) on its website, as is the case now. 
  7. The licensee would be able to operate worldwide and not be bound by country or territory, provided that the licensee (or his representative) is able to physically inspect the property concerned and liaise with the client physically in the ordinary course of business.
  8. The licensee would have access to any hospitality property/business already appearing and/or being marketed on Exquisite Hotel Consultants’ website/platform.
  9. The licensee would be able to enter into a dual (or more) mandate as and when necessary to close a sale (or lease or partnership arrangement or management agreement).
  10. The licensor would allow the licensee to use the licensor’s logo and related trademarks under certain conditions. However, the licensee’s entity would be allowed to continue to operate under its own name and logo, but may also add the Licensor’s logo to its stationery, website, etc, if so desired. Alternatively, should the licensee prefer to use Exquisite Hotel Consultants’ trade name for non-hospitality properties, the licensee’s non-hospitality properties would be allowed to be displayed on Exquisite Properties’ new website (under construction) on similar terms and conditions as that of Exquisite Hotel Consultants, as detailed in this email.
  11. The licensee’s entity would also be advertised on the licensor’s website as a Preferred Service Provider, as well as, of course, appearing under each property the licensee brings to the licensor.
  12. The licensor would send out a newsletter advertising the licensee’s services to about 20,000 recipients and to about 35,000 social media recipients (these figures are growing daily).
  13. The licensor would supply the licensee with technical support, particularly in finalising hospitality property/business agreements (such as offers to purchase/letters of intent, business valuations, organising detailed financial information, etc).
  14. The Licensee would be able to sub-license its operations under certain conditions
